EQS-Adhoc: Asklepios Kliniken GmbH & Co. KGaA submits request for the implementation of a squeeze-out of the minority shareholders of RHÖN-Klinikum Aktiengesellschaft

Asklepios Kliniken GmbH & Co. KGaA with registered office in Hamburg today submitted the request to the management board of RHÖN-Klinikum Aktiengesellschaft that the general meeting of RHÖN-Klinikum Aktiengesellschaft resolves upon the transfer of the shares of the minority shareholders of RHÖN-Klinikum Aktiengesellschaft to Asklepios Kliniken GmbH & Co. KGaA against payment of an adequate cash compensation (so-called squeeze-out). Asklepios Kliniken GmbH & Co. KGaA holds (indirectly) more than 95 percent of the shares in RHÖN-Klinikum Aktiengesellschaft and is therefore the main shareholder within the meaning of section 327a German Stock Corporation Act (Aktiengesetz – AktG).Asklepios Kliniken GmbH & Co. KGaA will determine the amount of the cash compensation on the basis of a company valuation. The adequacy of the cash compensation will be reviewed by a court appointed expert auditor.
